1. Agreement to Terms

By accessing or using the website and services of Technokain Solutions ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

2. Description of Services

Technokain Solutions provides enterprise technology services including but not limited to:

  • SOC (Security Operations Center) Automation
  • ICT Infrastructure and Network Operations Center (NOC) Services
  • AI and Automation Solutions
  • Managed IT Services

Specific services are subject to separate service agreements and statements of work.

3. User Accounts

Some services may require you to create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree not to use our website or services to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Engage in unauthorized access or hacking attempts
  • Send unsolicited communications (spam)
  • Interfere with the proper functioning of our services
  • Impersonate any person or entity

5. Intellectual Property

All content on this website, including text, graphics, logos, images, and software, is the property of Technokain Solutions or its licensors and is protected by intellectual property laws. You may not:

6. Service Availability

7. Fees and Payment

Fees for our services are set forth in separate service agreements. Unless otherwise specified:

  • All fees are quoted in Singapore Dollars (SGD)
  • Payment terms are net 30 days from invoice date
  • Late payments may incur interest charges
  • Prices are subject to change with 30 days notice

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information exchanged during the course of business. This obligation survives termination of the business relationship.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our services are provided "as is" without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability shall not exceed the fees paid for the specific service
  • We do not guarantee specific outcomes or results

10. Indemnification

You agree to indemnify and hold harmless Technokain Solutions, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your violation of these Terms
  • Your use of our services
  • Your infringement of third-party rights

11. Termination

Either party may terminate the relationship:

  • With 30 days written notice for convenience
  • Immediately for material breach of these Terms
  • Immediately for non-payment after notice

Upon termination, you must cease using our services and return any confidential information.

12. Governing Law

These Terms are governed by the laws of the Republic of Singapore. Any disputes shall be resolved in the courts of Singapore. You consent to the exclusive jurisdiction of these courts.

13. Dispute Resolution

Before initiating legal proceedings, parties agree to attempt resolution through:

  • Good faith negotiations for 30 days
  • Mediation under Singapore Mediation Centre rules if negotiations fail

14. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with any applicable service agreements, constitute the entire agreement between you and Technokain Solutions regarding the subject matter herein.
